1) Agreement to Terms

By accessing our website, requesting information, purchasing services, or otherwise engaging with Synergy Telecom & Medical Systems, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our services.

2) Services

Synergy provides consulting, brokerage, and technology-related services, which may include phone/VoIP, internet connectivity, networking, security, and related technology solutions, as well as consulting for electronic health record (EHR) and practice systems for medical practices (collectively, “Services”).

Specific deliverables, pricing, timelines, and scope may be described in a separate proposal, statement of work, order form, or agreement. If there is a conflict between these Terms and a signed agreement, the signed agreement controls.

3) Communications and Consent

A) Email and Phone Communications

By providing your contact information, you authorize us to contact you by email and phone regarding your requests, account, support, or service-related matters.

B) SMS/Text Messaging Terms

If you opt in to receive SMS/MMS messages from Synergy, you agree to the following:

  • We may send transactional/service messages (e.g., support, scheduling, updates, reminders, billing/account notices) and occasional marketing/promotional messages (e.g., offers, service announcements).
  • Message frequency may vary.
  • Message & data rates may apply.
  • To opt out at any time, reply STOP. After opting out, you may receive one final confirmation message.
  • For help, reply HELP or contact Service@synergytelecom.org or 706-234-0000.
  • Consent to receive SMS messages is not a condition of purchase.

4) Client Responsibilities

You agree to:

  • Provide accurate and complete information needed to deliver Services
  • Maintain the confidentiality of any account credentials you control
  • Use Services in compliance with applicable laws and regulations
  • Obtain any required permissions/authorizations for third-party systems we access at your direction

5) Payments, Fees, and Refunds

Fees, billing terms, and any refund policies will be described in your proposal, invoice, or written agreement.

Unless otherwise stated:

  • Invoices are due upon receipt or within the stated payment terms.
  • Late payments may result in suspension of Services.
  • Third-party products/services (e.g., carriers, software vendors) are subject to their own billing terms and policies.

6) Third-Party Products and Services

We may recommend or help you procure third-party services (such as internet carriers, VoIP providers, cloud platforms, software vendors, or hardware). Those third-party services are governed by the provider’s terms and policies, and Synergy is not responsible for outages, changes, or performance issues caused by third parties.

7) Intellectual Property

Unless otherwise agreed in writing:

  • Synergy retains ownership of our pre-existing materials, methods, tools, templates, and know-how.
  • Upon full payment, you receive a license to use deliverables created specifically for you for their intended business purpose.

8) Confidentiality

We will use reasonable care to protect non-public information you provide to us in connection with Services. You agree not to disclose Synergy’s confidential or proprietary information without our consent.

9) Disclaimer of Warranties

Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Synergy disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that Services will be uninterrupted, error-free, or that outcomes will meet all expectations, especially where results depend on third-party vendors or systems outside our control.

10) Limitation of Liability

To the fullest extent permitted by law:

  • Synergy will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption.
  • Synergy’s total liability for any claim related to Services will not exceed the amount you paid to Synergy for the Services giving rise to the claim during the three (3) months prior to the event giving rise to liability.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

11) Indemnification

You agree to indemnify and hold harmless Synergy from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your misuse of Services
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights

12) Termination

Either party may terminate Services in accordance with any written agreement in place. If no separate agreement exists, either party may terminate by providing reasonable notice.

Upon termination:

  • You remain responsible for fees incurred through the termination date.
  • Any third-party services you purchased through or with the assistance of Synergy remain subject to the third party’s terms.

13) Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

14) Changes to These Terms

We may update these Terms from time to time. The Effective Date above indicates when these Terms were last revised. Continued use of our Services after changes constitutes acceptance of the updated Terms.
